Welcome to Cyberknowledge. These Terms of Service ("Terms") govern your access to and use of the Cyberknowledge platform, website, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Cyberknowledge provides an AI-powered cyber risk intelligence platform that includes threat detection, risk assessment, security analytics, and compliance automation tools. The specific features and functionality available to you depend on your subscription plan.

3. Account Registration

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or use

4. Subscription and Payment

Subscription Plans

Access to our Services requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be modified from time to time.

Payment Terms

  • All fees are due in advance and non-refundable unless otherwise specified
  • Subscriptions automatically renew unless cancelled before the renewal date
  • We reserve the right to change pricing with 30 days' notice
  • Late payments may result in suspension or termination of access

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the Services or servers
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services for competitive analysis or to build competing products
  • Resell, sublicense, or transfer your access to third parties
  • Use automated systems to access the Services without permission

6. Intellectual Property

Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Cyberknowledge and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Your Data

You retain all rights to data you upload to the Services ("Customer Data"). You grant us a limited license to use Customer Data solely to provide and improve the Services. We will not use your Customer Data to train our AI models without your explicit consent.

7. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent, except as required by law or as necessary to perform obligations under these Terms.

8. Service Level Agreement

For enterprise customers, we provide a Service Level Agreement (SLA) that guarantees 99.9% uptime. Details of the SLA, including remedies for downtime, are provided in your subscription agreement.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You acknowledge that no security solution can guarantee absolute protection against all cyber threats.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBERKNOWLEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cyberknowledge and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving notice.

Upon termination, your access to the Services will cease, and you must delete all copies of any Cyberknowledge materials in your possession. We will provide you with a reasonable opportunity to export your Customer Data before deletion.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Cyberknowledge regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Failure to enforce any right or provision shall not constitute a waiver.
  • Assignment: You may not assign these Terms without our prior written consent.
